These Softra Globus Terms of Service (the "Terms of Service" or "Terms") govern access to and use of the Softra Globus ("Softra Globus," "we," or "us") website, applications, application plug-ins, and other services provided by us (collectively, the "Service"). Website/application visitors are referred to in these Terms as "Site Visitors" who are individuals or entities who use the Service offered by us. Site Visitors may be referred to in these Terms as "you" and "your" as applicable.

The Terms are to be read together by you with any terms, conditions or disclaimers provided in the pages of our website. The Terms apply to all Site Visitors, including without limitation, users who are browsers, customers, merchants, vendors and/or contributors of content. You agree to promptly update your account and information. You authorize us to collect and use this information to contact you in accordance with our Privacy Policy.

2. About Softra Globus

Data-deletion application/website: Softra Globus provides a data deletion website/application designed to facilitate the irreversible deletion of data from the device in which the Service is utilized. By using the Application, you acknowledge that deleted data cannot be retrieved through any means.
Data-recovery limitations: Site Visitors are advised that the website/application"s purpose is to ensure complete erasure of the data from the device in which such website/application is being utilized. However, any data which may be stored in third party servers or cloud storage cannot be deleted and may remain recoverable through specialized data recovery tools, depending on various factors.
Modification and Refusal of Service: We reserve the right to refuse service to you or anyone, at any time, for any reason we deem fit. We reserve the right to make any modifications to the website or our Service, including terminating, changing, suspending or discontinuing any aspect of the website/application at any time, without notice. We may impose additional rules or limits on the use of our website or our Service. You agree to review the Terms regularly and your continued access or use of our website or our Service will mean that you agree to any changes. You further agree that we will not be liable to you or any third party for any modification, suspension or discontinuance of our website or for any Service, content, feature or product offered through our website/application.
Upgrades or updates in the application/website: To improve and make the Service user friendly, we may require to update and upgrade the application/website from time to time. Unless your device, its settings, or computer software does not permit transmission or use of upgrades or updates, you agree that we, or the applicable software or software application store, may provide notice to you of the availability of such upgrades or updates and automatically push such upgrade or update to your device or computer from time-to-time. You may be required to install certain upgrades or updates to the software in order to continue to access or use the Service, or portions thereof (including upgrades or updates designed to correct issues with the Service). Any updates or upgrades provided to you by us under the Terms shall be considered part of the Service. Any updated/ modified services provided to you as a result of any such updates or upgrades provided shall be considered part of the Service and your unwillingness to download such updates may result to your inability to use the application/website or it may prevent you from availing certain benefits, Service offered by us.

3. Eligibility

You agree that by using the Service you are at least 18 years of age and you are legally able to enter into a contract.
If you are agreeing to these Terms on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Terms on that organization or entity's behalf and bind them to these Terms (in which case, the references to 'you' and 'your' in these Terms, except for in this sentence, refer to that organization or entity).
If Softra Globus has previously prohibited you from accessing the Service, you are not permitted to access or use the Service.

4. Site Visitor Account

When you create an account to use or access certain portions of the Service, you must provide complete and accurate information as requested on the website/application, and you must maintain and update such information to keep it complete and accurate. You will also be asked to provide a user name and password. You are entirely responsible for maintaining the confidentiality of your password, and are responsible for all activities (whether by you or by others) that occur under your password or account. You may not use a third party's account, user name or password at any time, and you will not allow anyone other than authorized users to access or use the Service from your account. You agree to notify us immediately of any unauthorized use of your account, user name or password. We shall not be liable for any losses you incur as a result of someone else's use of your account or password, either with or without your knowledge. You shall be held liable for any losses incurred by Softra Globus, our affiliates, officers, directors, employees, consultants, agents and representatives due to someone else's use of your account or password.
You will promptly notify Softra Globus of any suspected violation of these Terms by an authorized user and will cooperate with Softra Globus to address the suspected violation. Softra Globus may suspend or terminate any authorized user's access to the Service upon notice to you in the event that Softra Globus reasonably determines that such authorized user violated these Terms.

5. Intellectual Property Rights

The Service is owned and operated by Softra Globus, and contains materials that are proprietary and are protected by copyright laws, international treaty provisions, trademarks, service marks, and other intellectual property laws and treaties. Except as otherwise expressly provided by Softra Globus, none of the Service may be copied, reproduced, republished, downloaded, uploaded, posted, displayed, transmitted or distributed in any way and nothing on the Service shall be construed to confer any license under any of Softra Globus intellectual property rights, whether by estoppel, implication or otherwise. Any rights not expressly granted in these Terms are reserved by Softra Globus.
The Service is also protected as a collective work or compilation under copyright and other laws and treaties. You agree to abide by all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained on the Service. You acknowledge that the Service contains original works that have been developed, compiled, prepared, revised, selected, and arranged by Softra Globus and others through the application of methods and standards of judgment developed and applied through the expenditure of substantial time, effort, and money and which constitute valuable intellectual property of Softra Globus. All present and future rights in and to trade secrets, patents, designs, copyrights, trademarks, database rights, service marks, know-how, and other intellectual property or other proprietary rights of any type, documentation, any improvements, design contributions, or derivative works thereto, and any knowledge or process related thereto, including rights in and to all applications and registrations relating to the Service, shall, as between you and Softra Globus, at all times be and remain the sole and exclusive property of Softra Globus.
The trademarks, logos, taglines, and service marks displayed on the Service (collectively, the 'Trademarks') are registered and unregistered Trademarks of Softra Globus and others. The Trademarks may not be used without Softra Globus's prior express written permission. Other than as provided in these Terms, your use of the Trademarks, or any other Softra Globus's content, is strictly prohibited.
Any software/website/application available for downloading through the Service or third-party websites or applications (the 'Software') is the copyrighted work of Softra Globus. Use of the Software is governed by these Terms. Unauthorized reproduction or distribution of the Software is expressly prohibited by law, and may result in civil and criminal penalties. Violators may be prosecuted.
Upon your acceptance of these Terms, we grant you a limited, non-exclusive non-sublicensable, and non-assignable license to access and use the Service for your internal purposes and only as expressly permitted in these Terms. You shall not use or permit use of the Service for any illegal purpose or in any manner inconsistent with the provisions of these Terms. If you are or become a direct competitor of Softra Globus, you may not access or use the Service without Softra Globus's explicit, advance, written consent, and then only for the purposes authorized in writing. Except as otherwise restricted by these Terms, Softra Globus grants you permission on a non-exclusive, non-transferable, limited basis to use the Service provided that you: (a) retain all copyright and other proprietary notices on the content and materials; (b) use them solely for internal use or in accordance with any applicable terms; and (c) do not modify them in any way. Any violation by you of the license provisions contained in this Clause may result in the immediate termination of your right to use the Service, as well as potential liability for intellectual property infringement or other claims depending on the circumstances.
To the fullest extent permitted by applicable law, we neither warrant nor represent that your use of materials displayed on the Service will not infringe rights of third parties not owned by or affiliated with us. You agree to immediately notify us upon becoming aware of any claim that the Service infringe upon any copyright trademark, or other contractual, intellectual, statutory, or common law rights

6. Disclaimer and Site Visitor responsibility

By utilizing the Service, Site Visitors explicitly recognize and consent that the primary purpose of this Software is to facilitate the irretrievable deletion of data, and users are hereby informed that once data is deleted using this Software, it is beyond recovery through any means. We make no representation or warranty concerning the recoverability of deleted data. Site Visitors are strongly advised to exercise caution and perform necessary backups prior to deploying the Software. Softra Globus and the Software shall not be held responsible for any form of loss, whether direct, indirect, incidental, consequential, or otherwise, arising or resulting from the use of our Software. This encompasses, but is not limited to, data loss, financial implications, or disruptions in business operations. Site Visitors assume sole responsibility for comprehending the functionality and potential consequences of using the Software. It is recommended that Site Visitors thoroughly assess the suitability of the Software for their needs and circumstances. By choosing to use this Software, Site Visitors explicitly acknowledge and accept the Terms outlined herein.
You further acknowledge that we have no obligation to monitor your, or anyone else's, access to or use of the Service for violations of Terms. However, we have the right to do so for the purpose of operating and improving the Service (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes, analytics, and advertising), to ensure your compliance with these Terms and to comply with applicable law or the order or requirement of a court, consent decree, administrative agency or other governmental body.
Site Visitors are solely responsible for understanding the functionality and potential consequences of using the Software. It is recommended that Site Visitors thoroughly review and assess the suitability of the Software for their individual needs and circumstances.
Softra Globus and the Software is designed to facilitate secure data deletion and disk management. However, the effectiveness, speed, and outcome of the deletion process depend on multiple factors, including but not limited to:
The performance of Softra Globus is directly impacted by the quality and condition of your hardware. If your device has suboptimal or failing components, the deletion process may be slower, less effective, or, in rare cases, incomplete.
Certain types of data structures, encryption, and fragmentation can significantly extend the time required for complete deletion. If your data is highly complex or stored across multiple sectors in an unpredictable manner, the process facilitated by Softra Globus and the Software may take longer than expected.
Softra Globus and the Software interacts directly with storage devices at a low level. If your hardware is faulty, improperly configured, or otherwise unstable, running deletion processes may cause unintended consequences, including data corruption, system instability, or device failure.
While Softra Globus and the Software employs advanced deletion techniques, we do not guarantee that data removed using the application is irrecoverable in all circumstances. Users must ensure their hardware is functioning correctly and acknowledge that data erasure processes vary based on system architecture and storage conditions.
By using Softra Globus and the Software, you agree to these Terms and understand that the application is provided as is, without any warranties, express or implied.

7. Limitation of Liability

You assume all responsibility and risk with respect to your use of our Service and Software, which is provided 'as is' without warranties, representations or conditions of any kind, either express or implied, with regard to Services availed from or via our Software, including without limitation, all content and materials, and functions provided on our Software, all of which are provided without warranty of any kind, including but not limited to warranties concerning the availability, accuracy, completeness or usefulness of content or information, uninterrupted access, and any warranties of title, non-infringement, merchantability or fitness for a particular purpose. We do not warrant that our website or its functioning or the Services made available thereby will be timely, secure, uninterrupted or error-free, that defects will be corrected, or that our Software or the servers that are available free of viruses or other harmful components.
We assume no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content and materials; (ii) personal injury or property damage, of any nature whatsoever, resulting from Site Visitor's access to and use of the Service; (iii) any unauthorized access to or use of Softra Globus's servers/website/application and/or any and all personal information and/or financial information stored therein; (iv) any interruption or cessation of transmission to or from the application/website; (v) any bugs, viruses, trojan horses, or the like which may be transmitted to or through the application/website by any third party; and/or (vi) any errors or omissions in any content and materials or for any loss or damage of any kind incurred as a result of the use of any content posted, transmitted, or otherwise made available via the website/application.
The use of our Software is at your sole risk and you assume full responsibility for any costs associated with your use of our Services. We will not be liable for any damages of any kind related to the use of our Services. In no event will we, or our affiliates, our or their respective content or service providers, or any of our or their respective directors, officers, agents, contractors, suppliers or employees be liable to you for any direct, indirect, special, incidental, consequential, exemplary or punitive damages, losses or causes of action, or lost revenue, lost profits, lost business or sales, or any other type of damage, whether based in contract or tort (including negligence), strict liability or otherwise, arising from your use of, or the inability to use, or the performance of, our website or the content or material or functionality through our Software, even if we are advised of the possibility of such damages.
Notwithstanding anything stated herein under these Terms, total aggregate liability of Softra Globus (including without limitation any liability for the acts or omission of its employees, representatives, consultants and subcontractors) in contract, tort, misrepresentation, restitution or otherwise arising under or in connection with these Terms, shall be limited to Rs. 1,000/- (Rupees one thousand only)
Certain jurisdictions do not allow limitation of liability or the exclusion or limitation of certain damages. In such jurisdictions, some or all of the above disclaimers, exclusions, or limitations, may not apply to you and our liability will be limited to the maximum extent permitted by law.
By using Softra Globus and the Software, you acknowledge that we are not responsible for any damage, data loss, system failures, or hardware malfunctions that may occur as a result of using the application. You assume full and absolute responsibility for ensuring your device is in good working order before proceeding with any deletion or disk management tasks.

8. Use Restrictions

By using the Service, you specifically agree not to engage in any activity that, in our sole discretion:

Is illegal, or violates any applicable, state, or local law or regulation;
Tampers the goodwill associated with Softra Globus;
Threatens the unity, integrity, defense, security or sovereignty of the country of use, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation
Advocates illegal activity or discusses illegal activities with the intent to commit them;
Violates any third-party right, including, but not limited to, right of privacy, right of publicity, copyright, trademark, patent, trade secret, or any other intellectual property or proprietary rights;
Is harmful, threatening, abusive, harassing, tortious, indecent, defamatory, sexually explicit or pornographic, discriminatory, vulgar, profane, obscene, libelous, hate speech, violent or inciting violence, inflammatory, or otherwise objectionable;
Interferes with any other party's use and enjoyment of the Service;
Attempts to impersonate another person or entity;
Is commercial in a way that violates these Terms, including but not limited to, using the Service for spam, surveys, contests, pyramid schemes, or other advertising materials;
Falsely states, misrepresents, or conceals your affiliation with another person or entity;
Accesses or uses the account of another Site Visitor without permission;
Distributes computer viruses or other code, files, or programs that interrupt, destroy, or limit the functionality of the Software or any computer software or hardware or electronic communications equipment;
Interferes with, disrupts, disables, overburdens, or destroys the functionality or use of any features of the Service, or the servers or networks connected to the Service, or any of the Service;
Accesses without permission our proprietary or confidential records, those of another Site Visitor, or those of anyone else;
Improperly solicits personal or sensitive information from other Site Visitors including without limitation address, credit card or financial account information, or passwords;
Uses the Service for benchmarking, or to compile information for a product or service;
Decompiles, reverse engineers, disassembles, or otherwise attempts to derive source code from the Service, except as expressly permitted in these Terms or by law, unless and then only to the extent permitted by applicable law without consent;
Removes, circumvents, disables, damages, or otherwise interferes with security-related features, or features that enforce limitations on use of the Service;
Uses automated or manual means to violate the restrictions in any robot exclusion headers on the Service, if any, or bypasses or circumvents other measures employed to prevent or limit access, for example by engaging in practices such as 'screen scraping,' 'database scraping,' or any other activity with the purpose of obtaining lists of Site Visitors or other information;
Modifies, copies, scrapes or crawls, displays, distributes, publishes, licenses, sells, rents, leases, lends, transfers, or otherwise commercializes any materials or content on the Service;
License, sub-license, sell, re-sell, rent, lease, transfer, distribute or time share or otherwise make any portion of the Service available for access by third parties except as otherwise expressly provided in these Terms;
Access or use the Service for the purpose of: (i) developing or operating products or services intended to be offered to third parties in competition with the Softra Globus or (ii) allowing access to your account by a direct competitor of Softra Globus.

9. Privacy

You acknowledge that, except as described in these Terms, the information you provide to us or that we collect will be used and protected as described in the Softra Globus Privacy Policy.
You acknowledge and agree that we may access, preserve, or share any of your information when we believe in good faith that such sharing is reasonably necessary to investigate, prevent, or take action regarding possible illegal activities or to comply with legal process. We may also share your information in situations involving potential threats to the safety or privacy of any person, violations of the Softra Globus Privacy Policy or our agreements or Terms; or to respond to the claims of violation of the rights of third parties and/or to protect the rights, property and safety of Softra Globus, our employees, users, or the public. This may involve the sharing of your information with law enforcement, government agencies, courts, and/or other organizations.

10. Site Visitor Data

You are responsible for the data and information that you or your authorized users input or upload into the Service. You are further responsible for obtaining any necessary right and licenses for use of the Site Visitor data by you and Softra Globus as contemplated in these Terms. You agree that you have the legal right and authority to access, use and disclose to Softra Globus any Site Visitor data. You authorize Softra Globus to access, process, and use the Site Visitor data as necessary to perform and fulfil its obligations hereunder, including to provide the Service to you. You acknowledge that Softra Globus may process Site Visitor data in accordance with the Softra Globus Privacy Policy.

11. Fees

Softra Globus reserves the right in the future to require payment of fees for certain or all aspects of the Service, change prices, or institute new charges, upon notice to you, which may be sent by email or posted on the Service. The Service shall be provided against a payment which shall be made either in-app or authorised payment gateway or through any other means as Softra Globus deems fit. Your use of the Service following such notification constitutes your acceptance of any new or increased charges.

12. Term and Termination

These Terms are effective unless and until terminated by either you or us. You may terminate your use of the Service at any time by ceasing further use of the Service. Softra Globus is also free to terminate (or suspend access to) your use of the Service or your account, for any reason in our discretion, including your breach of these Terms. We have the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms.
If these Terms expire or are terminated for any reason: (a) any and all of your liabilities to Softra Globus that have accrued before the Effective Date of the expiration or termination will survive; (b) licenses and use rights granted to you with respect to the Service and intellectual property will immediately terminate; (c) Softra Globus's obligation to provide any further Services to you under these Terms will immediately terminate, except any such Services that are expressly to be provided following expiration or termination of these Terms. Any other provisions that, by their nature, should survive termination of these Terms shall survive termination. By way of example, all of the following will survive termination: any obligation you have to pay us or indemnify us, any limitations on our liability, and any Terms regarding ownership or intellectual property rights.
All payment obligations on part of the Site Visitor to Softra Globus, if any, will survive the termination of these Terms and any termination of these Terms does not relieve the Site Visitor of any continuing obligations under these Terms.

13. Indemnification

You will defend, indemnify, and hold us, our affiliates, officers, directors, employees, suppliers, consultants, and agents harmless from any and all third-party claims, liability, damages, and costs (including, but not limited to, attorneys' fees) arising from or related to, as applicable: (a) your access to and use of the Service; (b) violation of these Terms by you or your authorized user(s), as applicable; (c) infringement of any intellectual property or other right of any person or entity by you; (d) the nature and content of all Site Visitor data processed by the Service; or (e) any services availed by you in connection with the Service.
We retain the exclusive right to settle, compromise, and pay, without your prior consent, any and all claims or causes of action that are brought against us. We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree not to settle any matter in which we are named as a defendant and/or for which you have indemnity obligations without our prior written consent.

14. Entire Agreement

The Terms and any documents expressly referred to in them represent the entire agreement between you and us in relation to the subject matter of the Terms and supersede any prior agreement, understanding or arrangement between you and us, whether oral or in writing. Both you and we acknowledge that, in entering into these Terms, neither you nor we have relied on any representation, undertaking or promise given by the other or implied from anything said or written between you and us prior to such Terms, except as expressly stated in the Terms.

15. Relationship of Parties

At all times, you and Softra Globus are independent contractors, and are not the agents or representatives of the other. These Terms are not intended to create a joint venture, partnership, or franchise relationship between the parties. Non-parties do not benefit from and cannot enforce these Terms. There are no third-party beneficiaries to these Terms. You shall not represent to anyone that you are an agent of Softra Globus or are otherwise authorized to bind or commit Softra Globus in any way without Softra Globus's prior written authorization.

16. Electronic Communication

You agree to receive all communications, agreements, and notices that we provide in connection with the Service, including, but not limited to, communications related to our Service via electronic means, including by e-mail, text, notifications, or by posting them on the Software. You agree that all Communications we provide to you electronically satisfy any legal requirement that such Communications be in writing or be delivered in a particular manner and you agree to keep your account contact information current.

17. Assignability

You may not assign your rights or obligations, or delegate your responsibilities hereunder without Softra Globus's prior written consent. If consent is given, these Terms will bind your successors and assigns. Any attempt by you to transfer your rights, duties, or obligations under these Terms except as expressly provided in these Terms is void. Softra Globus may, at any time, freely assign its rights, duties, and obligations hereunder without notice to you.

18. Force Majeure

Softra Globus will not be held liable hereunder by reason of any failure or delay in the performance of its obligations hereunder on account of events beyond the reasonable control of Softra Globus, which may include without limitation denial-of-service due to attacks, strikes, shortages, riots, insurrection, fires, flood, storm, explosions, acts of god, war, terrorism, governmental action, labour disputes, earthquakes and material shortages, internet connectivity, epidemics, pandemics and any other reason which is deemed to be a force majeure event by Softra Globus. Obligations not performed due to a force majeure event will be performed as soon as reasonably possible when the force majeure event concludes.

19. Waiver

The waiver by either you or Softra Globus of any breach of any provision of these Terms does not waive any other breach. The failure of any party to these Terms to insist on strict performance of any covenant or obligation in accordance with these Terms will not be a waiver of such party's right to demand strict compliance in the future, nor will the same be construed as a novation of these Terms.

20. Severability

If any part of these Terms is found to be illegal, unenforceable, or invalid in any respect, the remaining portions of these Terms will remain in full force and effect. If any material limitation or restriction on the grant of any license to you under these Terms is found to be illegal, unenforceable, or invalid, the license will immediately terminate.

21. Interpretation

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

22. Dispute Resolution and Governing Law

Any dispute arising out of or relating to the provision of this agreement shall be referred to and determined by arbitration subject to Softra Globus's sole and overriding discretion to commence litigation proceedings in the courts of competent jurisdiction for equitable and injunctive reliefs. The parties may agree to the appointment of a sole arbitrator failing which either party may, after having made a written request to concur in the appointment of an arbitrator, request the Indian Council of Arbitration ('ICA') to appoint an arbitrator. The venue of arbitration shall be in Gurugram, Haryana. There shall only be one arbitrator. The language to be used in the arbitral proceedings shall be English and the arbitration proceedings shall be conducted in accordance with the Arbitration and Conciliation Act 1996 as amended from time to time. The award of the arbitrator shall be final and binding upon the parties.
These Terms shall be subject to and governed by Indian law and all disputes arising from or under these Terms shall be subject to the exclusive jurisdiction of courts situated in Kolkata, West Bengal.
